ARTICLE VIII.
The Corporation is and shall continue to be a Corporation without capital stock, and

membership in the Corporation shall be deemed personal estate and shall be transferable only
on the books of the Corporation in such a manner as the By-Laws may prescribe.

ARTICLE IX.

A director is not liable to the Corporation or members for monetary damages for

any act or omission in the director's capacity as director except as otherwise provided by
a Texas statute.

ARTICLE X.
The Corporation shall indemnify a person who was, is, or is threatened to be made
a named defendant or respondent in litigation or other proceedings because the person is
or was a director or officer to the Corporation as provided by the provisions of the Texas
Non-Profit Corporation Act governing indemnification.

As the bylaws may provide, the Board may define the requirements and

limitations for the Corporation to indemnify directors or officers to the Corporation.
