ARTICLE VI

                                 MEETINGS OF'DIRECTORS

Section 1. Regular Meetings. Regular meetings of the Board of Directors are open to the

Board of Directors shall be provided in accorclance with applicable law. Notice shall include the

general subject of the meeting and a descriptior-r of any matter to be brought up for deliberation

in executive session.

         The Board of Directors may meet by any rnethod of commut'rication. including electronic
and telephonic, without prior notice to t.ru.ners as allowed by law.

        Section 2. Special Meetings. Special meetings of the Board of Directors shall be held

when called by the president of the Association, or by any two directors. Special meetings of the

Board of Directors shall be open to tl-re members, subiect to the right to convene in closed
executive session. at such place, date and hour as may be fixed fiom time to time by resolution of

the Board. Notice of special meetings o1'the Boarcl of Directors shall be provided in accordance

with the applicable law. Notice shall inclucle the general subject of the meeting and a description

of any matter to be brought up for deliberation in executive session.

        Section 3. Quorum. A maiority of the nurnber of directors shall constitute a quorum fbr
the transaction of business. Every act or decision done or rnade by a majority of the directors
present at a duly held meeting at r.vhich a cluorunr is present shall be regarded as the act of the

Board.

       Section 4. Conduct of Meetings. The President, ol' ally person designated by the Board

of Directors, presides over meetings of tlie Association. The person presiding over the meeting
may appoint a parliamentarian. The then current edition of Robert's Rules of Order governs the
conduct of meetings of the Association when not in conilict with the Governing Documents.

        In addition, regular and special mcetings of the Board of Directors shall be conducted
subject to the following provisions to the extent permitted or required by applicable law:

         (a) No audio or video recording of the meeting may be made, except by the board or with
the board's prior express consent, or as allowed by Section 209.007 of the Texas Property Code.

         (b) Members who are not directors may not participate in board deliberations under any

circumstances, and may not participate in board discussions unless the board expressly so

authorizes at the meeting.

(c) Executive sessions are not open to members.

        (d) The Board may prohibit attendance b1,' non-members. includiug represenlativcs.
